Terms of Service

1. Acceptance of Terms

By downloading, installing, or using PingAim ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.

PingAim is developed and operated by IM Networks Inc., a corporation registered in British Columbia, Canada. In these Terms, "we", "us", and "our" refer to IM Networks Inc., and "you" refers to the user of the Software.

2. License

We grant you a personal, non-exclusive, non-transferable, revocable license to use PingAim on your personal devices, subject to these Terms.

You may not:

• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of PingAim or its kernel driver.
• Resell, sublicense, lease, or redistribute PingAim or any part of it.
• Incorporate PingAim into a commercial product or service without prior written permission from IM Networks Inc.
• Remove, alter, or obscure any copyright, trademark, or proprietary notices included in the Software.
• Use PingAim to develop a competing product or service.

3. Free Tier

PingAim Free is available at no cost for personal use. The Free tier includes core routing, monitoring, and network management features as described on our website.

• The Free tier is provided without any guarantee of availability, uptime, or performance.
• We reserve the right to modify the features included in the Free tier at any time.
• The Free tier does not include access to Pro features such as Channel Bonding, Auto-Migration, unlimited profiles, or full traffic map.

4. Pro Subscription

4.1 Billing. PingAim Pro is a paid subscription billed monthly or yearly through Stripe. By subscribing to Pro, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate.

4.2 Auto-Renewal. Your Pro subscription automatically renews at the end of each billing period (monthly or yearly) unless you cancel before the renewal date.

4.3 Cancellation. You may cancel your Pro subscription at any time. Cancellation takes effect at the end of your current billing period — you retain access to Pro features until then.

4.4 Refunds. If you cancel within the first 7 days of your initial subscription (free trial period), you will receive a full refund. After the 7-day trial period, no refunds are issued for partial billing periods. If you experience a technical issue that prevents you from using Pro features, contact us and we will work to resolve it or issue a prorated refund at our discretion.

4.5 Price Changes. We may adjust subscription pricing with at least 30 days' notice. Price changes apply to the next billing cycle after the notice period, not to the current active subscription period.

5. Channel Bonding (Pro Feature)

Channel Bonding routes your network traffic through relay servers operated by IM Networks Inc. or our infrastructure partners to combine multiple internet connections.

• Channel Bonding is available exclusively to Pro subscribers.
• We provide no SLA (Service Level Agreement) on relay server speed, latency, or availability.
• We reserve the right to implement fair-use bandwidth limits to ensure quality of service for all users.
• All traffic through relay servers is encrypted. We do not log, inspect, or store your traffic content. See our Privacy Policy for details.

6. Prohibited Use

You agree not to use PingAim to:

• Engage in any illegal activity, including but not limited to unauthorized access to computer systems, networks, or data.
• Circumvent corporate, institutional, or organizational network policies without authorization from the network administrator.
• Conduct network attacks, including denial-of-service attacks, packet flooding, port scanning, or network reconnaissance against systems you do not own or have permission to test.
• Interfere with or disrupt the operation of PingAim's relay servers or infrastructure.
• Use PingAim to evade law enforcement or to facilitate the transmission of illegal content.
• Misrepresent your identity or impersonate another person or entity while using PingAim services.

We reserve the right to suspend or terminate your access to PingAim if we reasonably believe you are engaging in prohibited use.

7. Disclaimer of Warranties

PingAim is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including but not limited to:

• No warranty of compatibility with any specific game, application, or anti-cheat system.
• No warranty of uninterrupted service.
• No warranty of fitness for a particular purpose.
• No warranty against game bans. While PingAim uses legitimate Windows APIs (WFP) and does not inject code into game processes, the decision to ban an account rests solely with the game publisher.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• IM Networks Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total aggregate liability is limited to the amount you paid to us in the three (3) months preceding the event, or $50 CAD, whichever is greater.
• This limitation applies regardless of the legal theory and whether or not we have been advised of the possibility of such damages.

9. Termination

We may suspend or terminate your access to PingAim at any time if you violate these Terms. Upon termination for cause, you are not entitled to a refund. You may terminate your use at any time by uninstalling the Software.

10. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. For material changes, we will notify Pro subscribers via email at least 14 days before the changes take effect.

11. Governing Law

These Terms are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of British Columbia, Canada.
